These Terms govern access to and use of Undertake during the initial cohort.

Operator: Undertake

By using Undertake, creating an account, accepting an invite, funding work, submitting work, verifying work, or using any member surface, you agree to these Terms. If you do not agree, do not use Undertake.

1. What Undertake is

Undertake is an invite-only coordination system for scoped Work Contracts between members.

A Work Contract may define:

Undertake is in an initial-cohort state. Some routes, features, payment paths, verifier paths, payout paths, and member surfaces may be incomplete, blocked, invite-scoped, unavailable, or changed.

2. What Undertake is not

Undertake does not promise work, income, acceptance, verification, payout timing, refund timing, dispute outcome, service visibility, or continued access.

3. Eligibility

You may use Undertake only if:

Access may be rejected, limited, revoked, or closed if access is unavailable, expired, misused, blocked by system state, or inconsistent with these Terms.

4. Accounts and invites

Account creation is invite-gated.

An invite may be limited by type, time, work scope, member state, route state, or system requirements. An invite does not create entitlement to account access, work access, payment access, payout access, publication access, or future invites.

You are responsible for activity under your account. You may not share, sell, transfer, impersonate, automate, bypass, or misuse account or invite access.

5. Membership oath

Some member surfaces require recording the membership oath.

The oath is a member-entry covenant. It does not replace these Terms, payment terms, privacy terms, Work Contract terms, or applicable law.

If the oath and these Terms conflict, these Terms control unless a later written term states otherwise.

6. Member conduct

Use Undertake in good faith.

You may not use Undertake to:

Undertake may limit, lock, hide, reverse, remove, or review activity that appears inconsistent with these Terms or system integrity.

7. Work Contracts

Members may create, receive, accept, fund, perform, verify, cancel, or review Work Contracts only through available system paths.

A Work Contract may include:

Conversation, interest, comments, presence, draft availability, or fit signaling do not create completed work, accepted proof, payout entitlement, reward entitlement, or service-record truth.

8. Proof and verification

Work may require proof, completion packets, verifier action, buyer acceptance, or other system-defined completion steps.

Submitting proof does not itself create acceptance, release, payout, reward, or service-record truth.

For the initial cohort, the ordinary live path is buyer verification before release. Chosen-verifier, timeout-fallback, and panel-escalation paths may be unavailable or fail closed unless the system explicitly marks them live for a specific Work Contract.

Undertake may retain contract, proof, event, payment, and reconciliation records as needed for lifecycle truth, operational review, member-visible summaries, dispute handling, or legal requirements.

9. Payments, fees, refunds, and payouts

Payments and payouts use available payment-provider paths. Stripe is the current launch-lane payment and payout provider.

Current launch-lane facts:

Payment-provider rules, holds, delays, reviews, restrictions, fees, reversals, disputes, chargebacks, identity checks, tax forms, or account requirements may affect checkout, capture, refund, transfer, or payout.

A Work Contract may be cancelled, refunded, locked, unwound, reconciled, or marked inconsistent when required by contract state, payment-provider truth, dispute/chargeback activity, safety review, or system integrity rules.

Seller payout amounts may exclude platform fees, provider fees, refunds, reversals, chargebacks, taxes, adjustments, or other amounts not payable to the seller under the applicable Work Contract and payment path.

10. BeaCredits and rewards

BeaCredits, if shown, are internal system credits only.

BeaCredits are not:

When eligible and available, BeaCredits may be used only as a future platform-fee offset under system rules.

BeaCredits may be pending, spendable, spent, reversed, restored, expired, blocked, or adjusted according to system state.

Rewards, value events, service-record summaries, or continuity records may depend on settled Work Contract truth. Refunds, reversals, disputes, chargebacks, locks, corrections, abuse findings, or invalid terminal states may void, reverse, or alter related reward or record effects.

11. Reviews and records

Undertake may generate or display summaries from accepted proof, settled Work Contracts, reviews, value events, contribution records, or other system-defined events.

These summaries are operational records. They are not employment references, credit reports, background checks, licenses, certifications, or public reputation scores.

Access to summaries, proof, raw records, and related data may be scoped by role, party, invite grant, route, or system state.

12. Taxes, licenses, and independent responsibility

Members are responsible for their own taxes, filings, licenses, permits, registrations, professional obligations, insurance, and legal compliance.

A Work Contract does not create an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship with Undertake unless a separate signed written agreement states otherwise.

Members are responsible for deciding whether they may lawfully offer, perform, request, buy, sell, verify, or accept the relevant work.

13. Content

You keep ownership of content you submit, subject to any rights granted through a Work Contract or separate agreement.

By submitting content to Undertake, you allow the Operator to host, process, display, route, preserve, review, and use that content as needed to operate Undertake, enforce these Terms, maintain contract/payment/proof records, produce member-visible summaries, and comply with legal or operational requirements.

Do not submit content unless you have the rights and permissions needed to submit it.

14. Privacy and account exit

Use of Undertake involves account data, invite data, work records, proof records, review records, payment metadata, operational logs, and related system records.

The active Privacy Notice explains data handling when available.

Account deletion or exit may remove some account data while retaining or anonymizing records needed for payment, contract, dispute, audit, fraud-prevention, security, tax, legal, or operational integrity reasons.

15. System changes

Undertake may change, block, remove, limit, suspend, or discontinue features, routes, invites, offers, Work Contracts, payment paths, payout paths, reward paths, or member surfaces.

Undertake may also correct records, reconcile payment-provider truth, lock affected contracts, or restrict activity when system state, provider state, safety review, legal risk, or integrity review requires it.

16. Suspension and termination

Undertake may suspend, limit, revoke, or terminate access if:

Suspension or termination does not automatically erase completed contract history, payment records, proof records, audit records, or records that may need to be retained or anonymized.

17. Disclaimers

Undertake is provided on an initial-cohort, as-available basis.

To the maximum extent allowed by law, the Operator disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, uninterrupted operation, error-free operation, and any warranty arising from course of dealing or usage of trade.

Undertake does not warrant that any member, offer, proof, review, payment state, payout state, reward state, or record is accurate, complete, current, available, or suitable for use outside Undertake.

18. Liability limits

To the maximum extent allowed by law, the Operator will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-opportunity, lost-data, or business-interruption damages.

To the maximum extent allowed by law, the Operator’s total liability for claims related to Undertake will not exceed the platform fees actually paid to and retained by the Operator for the specific Work Contract or transaction giving rise to the claim.

Seller payouts, refunded amounts, chargebacks, provider fees, taxes, and pass-through payment amounts are not platform fees retained by the Operator.

Some jurisdictions do not allow certain exclusions or limits. In those places, the limits apply only to the extent allowed by law.

19. Member responsibility

You are responsible for claims, losses, costs, penalties, or expenses arising from your misuse of Undertake, violation of these Terms, violation of law, submitted content, Work Contract obligations, tax or licensing obligations, or infringement of another person’s rights.

20. Disputes and governing law

Governing law, venue, arbitration, class-action waiver, and other formal dispute terms are not finalized in this v0.1.0 draft.

21. Changes to these Terms

The Operator may update these Terms. A later version may replace this version for future use of Undertake.

Your continued use after updated Terms become available means you accept the updated Terms for later activity.
